Master agreement governing use of the Naviuma B2B marketplace.
This document forms part of the binding legal framework between Naviuma Platform GmbH ("Naviuma", "we", "us") — and, for United Kingdom-based users, its UK affiliate Naviuma Platform UK Ltd — and users of the Naviuma B2B chauffeur marketplace ("Platform"). It governs general use of the Platform by any business user, including requesting and fulfilling companies. and should be read together with the other documents listed in the Legal Center. Terms not defined here have the meaning given in the Terms & Conditions.
Naviuma operates across the European Economic Area (EEA) and the United Kingdom. References to "GDPR" mean Regulation (EU) 2016/679 for users established in the EEA, and the UK GDPR together with the Data Protection Act 2018 for users established in the United Kingdom. Where a specific national rule applies (e.g. German TMG, UK PHV/PSV licensing), the document identifies it explicitly.
The Platform is offered to businesses established in the European Economic Area (EEA) and the United Kingdom. Users established in the UK contract with Naviuma Platform UK Ltd; users established in the EEA contract with Naviuma Platform GmbH. Both entities operate under the same product, security, and privacy standards described in the Legal Center.
"Requesting Company" means a business that submits ride requests through the Platform.
"Fulfilling Partner" means a verified chauffeur company that receives and executes ride requests.
"Booking" means a confirmed transportation service agreed between two Users through the Platform.
"Content" means any data, text, files, or media exchanged through the Platform.
Only legally-registered businesses may use the Platform. Users represent that they have full authority to bind the entity they register. Personal accounts are not permitted.
Users must complete company verification, including business registration (e.g. Handelsregister, Companies House, or equivalent), tax identification (VAT ID / UK VRN where applicable), insurance evidence, and, for Fulfilling Partners, transport-operator licences valid in the operating jurisdiction (e.g. German PBefG concession, UK PHV/PSV operator licence, or equivalent).
Naviuma is a neutral marketplace. Contracts for the transportation service are concluded directly between the Requesting Company and the Fulfilling Partner. Naviuma is not a transport provider, employer, or agent of either party.
Platform fees, commissions, and buyer fees are set out in the Payment Terms. Naviuma may amend the fee schedule with 30 days' notice communicated by email and in-product.
To the maximum extent permitted by law, Naviuma's aggregate liability towards a User for any claim relating to the Platform shall not exceed the platform fees paid by that User in the six (6) months preceding the event giving rise to the claim.
Naviuma excludes liability for indirect, consequential, or business-interruption losses. Nothing in this clause limits liability for gross negligence, wilful misconduct, death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under German or English law.
Naviuma may suspend or terminate an account for material breach, regulatory reasons, or fraud. Users may terminate at any time; outstanding bookings and settlement obligations survive termination.
We may revise these Terms with 30 days' notice. Continued use after the effective date constitutes acceptance. Material adverse changes require explicit re-acceptance.
For Users established in the EEA, these Terms are governed by the laws of the Federal Republic of Germany (excluding the UN CISG), with exclusive jurisdiction of the courts of Munich, unless a mandatory statutory venue applies.
For Users established in the United Kingdom, these Terms are governed by the laws of England and Wales, with exclusive jurisdiction of the courts of England and Wales.
Nothing in this clause limits mandatory consumer or business protections available under the law of the User's habitual place of business.
